These Terms of Service (“Terms”) govern your access to and use of the Souvenir Shindig website, products, and wholesale services. Throughout these Terms, “Souvenir Shindig,” “we,” “us,” and “our” refer to Souvenir Shindig. “Customer,” “you,” and “your” refer to the person or business accessing our website or purchasing our products.

By accessing our website, creating a wholesale account, submitting an order, or purchasing products from us, you agree to these Terms. Please do not use our website or place an order if you do not agree to them.

1. Wholesale Customers

Our website and wholesale pricing are intended primarily for businesses purchasing products for resale or other legitimate commercial purposes.

By creating an account or placing a wholesale order, you represent that:

You are at least 18 years old and legally able to enter into a binding agreement.
You are authorized to make purchases on behalf of the business identified in your account or order.
The information you provide is accurate, current, and complete.
Products purchased at wholesale will be used for legitimate business purposes.

We may request documentation confirming your business identity, resale status, tax-exempt status, or eligibility for wholesale pricing.

We reserve the right to approve, deny, suspend, or close a wholesale account at our discretion.

2. Account Information

You are responsible for maintaining the confidentiality of your account credentials and for all orders or activity completed through your account.

You agree to notify us promptly if you believe your account has been accessed without authorization. Souvenir Shindig is not responsible for losses resulting from your failure to protect your account credentials.

3. Product Information

We make reasonable efforts to display product descriptions, measurements, colors, materials, pricing, and images accurately. However, colors and product appearance may vary slightly due to screen settings, printing processes, material variations, manufacturing tolerances, and other factors.

Product photographs and mockups may be shown for illustrative purposes. Minor variations that do not materially affect the product’s intended use will not be considered defects.

We may modify or discontinue products, designs, materials, packaging, colors, pricing, or product specifications at any time without prior notice.

4. Pricing and Minimum Orders

All prices are listed in U.S. dollars unless otherwise stated.

Wholesale prices, minimum order quantities, minimum opening-order requirements, promotional pricing, and product availability are subject to change. The pricing and minimums displayed when an order is submitted will generally apply to that order unless there is an obvious pricing or technical error.

Discounts and promotions:

Cannot be combined unless expressly stated.
May be modified or discontinued at any time.
May be limited by product, customer, quantity, or ordering period.
Have no cash value.

We reserve the right to correct pricing errors and to cancel or modify an affected order. If payment has already been collected for a canceled item, we will refund the amount paid for that item.

5. Orders and Acceptance

Submitting an order does not guarantee acceptance. An order is accepted when we confirm it, begin production, or ship the products, whichever occurs first.

We reserve the right to reject, limit, hold, or cancel an order for reasons including:

Product unavailability.
Pricing or inventory errors.
Suspected fraud or unauthorized activity.
Unpaid balances or payment disputes.
Failure to meet wholesale requirements.
Infringing, unlawful, or inappropriate customization requests.
Orders that appear intended for unauthorized resale channels.

If we cancel an order after payment has been collected, we will refund the applicable amount unless the cancellation resulted from a chargeback, fraud, or another unresolved payment issue.

6. Custom and Personalized Products

Customers are responsible for reviewing all names, locations, dates, spelling, punctuation, colors, artwork, and other customization details before submitting or approving an order.

Once a custom order enters production, it may not be changed, canceled, returned, or refunded.

When a digital proof is provided, production will not begin until the proof is approved. Approval confirms that the customer has reviewed and accepted the design, spelling, layout, colors, and customization details.

Souvenir Shindig is not responsible for errors that appeared in a customer-approved proof or in customization information submitted by the customer.

Production and screen colors may vary. Exact color matching is not guaranteed unless separately agreed to in writing.

7. Customer-Submitted Content

If you submit names, logos, trademarks, photographs, artwork, designs, text, or other materials to us, you represent and warrant that:

You own the materials or have permission to use them.
The materials do not infringe another party’s copyrights, trademarks, privacy rights, publicity rights, or other rights.
We may reproduce and modify the materials as reasonably necessary to fulfill your order.

You grant Souvenir Shindig a limited, nonexclusive license to use, reproduce, resize, format, and manufacture products from the submitted materials for the purpose of processing and completing your order.

You are responsible for claims arising from materials you submit. We may reject any content that we reasonably believe is unlawful, infringing, hateful, defamatory, obscene, misleading, or otherwise inappropriate.

8. Payment

Payment is due according to the terms shown during checkout or stated on an approved invoice.

You authorize us and our payment processors to charge the payment method provided for your order, including applicable product charges, shipping charges, taxes, and authorized fees.

Orders may be delayed or canceled if payment cannot be processed.

Any credit terms must be approved by us in writing. Customers with approved payment terms are responsible for paying invoices by the stated due date. We may suspend future orders, revoke credit terms, or pursue collection of overdue balances.

The customer is responsible for reasonable collection costs, chargeback costs, and legal expenses incurred in collecting valid unpaid amounts to the extent permitted by law.

9. Taxes and Resale Certificates

Customers are responsible for providing valid and current resale or tax-exemption documentation when claiming an exemption from sales tax.

If valid documentation is not provided or accepted, applicable taxes may be collected.

The customer is responsible for any taxes, duties, assessments, or government charges associated with the purchase, resale, importation, or use of the products, except for taxes imposed directly on Souvenir Shindig’s income.

10. Production and Processing Times

Production and processing times are estimates and are not guaranteed unless we expressly agree to a guaranteed deadline in writing.

Processing times may be affected by:

Order volume.
Product availability.
Customization or proof approval.
Payment delays.
Supplier or manufacturing delays.
Holidays, severe weather, carrier disruptions, or events outside our reasonable control.

Customers should place time-sensitive orders sufficiently in advance. We are not responsible for missed events, selling seasons, promotions, or deadlines caused by delays outside our reasonable control.

11. Shipping and Delivery

Shipping charges and available delivery methods are shown during checkout or included on the applicable invoice.

Delivery dates are estimates. Once an order is transferred to a shipping carrier, delivery timing is generally controlled by the carrier.

The customer is responsible for providing a complete and accurate shipping address. Additional shipping, handling, redelivery, address-correction, or replacement costs resulting from an incorrect address may be charged to the customer.

Risk of loss passes to the customer upon delivery to the shipping address provided, except where applicable law requires otherwise.

The customer must promptly report packages that appear lost, missing, or damaged in transit so that we can determine whether a carrier claim may be available.

12. Inspection, Damage, and Incorrect Orders

Please inspect your order promptly upon delivery.

Due to the custom and wholesale nature of our products, all sales are final. We do not accept returns or exchanges unless an item arrives damaged, defective, or materially different from the approved order.

Claims must be submitted to hello@souvenirshindig.com within seven days of delivery and should include:

The order number.
A description of the problem.
The quantity affected.
Clear photographs of the affected products.
Photographs of the shipping packaging when the damage may have occurred in transit.

Do not discard damaged products or packaging until the claim has been reviewed.

If a claim is approved, Souvenir Shindig may, at its discretion, replace the affected products, issue store credit, or refund the amount paid for the affected products.

Products returned without prior authorization may be refused. Original shipping charges are nonrefundable unless the return results from our error.

13. Cancellations

Standard, noncustom orders may be canceled only if the cancellation request is received before processing or fulfillment begins.

Custom, personalized, made-to-order, or specially manufactured products cannot be canceled once design work, proof preparation, material ordering, or production has begun.

Approved cancellations may be subject to deductions for design work, setup charges, transaction fees, materials, or other costs already incurred.

14. Resale of Products

Customers are responsible for complying with all laws, regulations, labeling requirements, tax obligations, and marketplace rules applicable to their resale of our products.

Purchasing our products does not grant the customer ownership of Souvenir Shindig’s trademarks, artwork, product photography, website content, or other intellectual property.

Products may not be altered, copied, reproduced, manufactured, or represented as having been designed or manufactured by the customer unless we have provided written permission.

We may prohibit resale through certain third-party marketplaces, unauthorized distributors, or other channels when necessary to protect our brand, intellectual property, customers, or existing sales relationships.

15. Intellectual Property

The Souvenir Shindig name, logos, original artwork, illustrations, product designs, photographs, graphics, website content, text, packaging, and other brand materials are owned by or licensed to Souvenir Shindig and are protected by applicable intellectual-property laws.

Except as expressly permitted in writing, you may not:

Copy or reproduce our designs.
Manufacture products using our artwork.
Remove or alter intellectual-property notices.
Use our trademarks in a business name, domain name, social-media account, or advertising campaign.
Use our product photographs in a misleading manner.
Claim ownership or authorship of our designs.

Authorized wholesale customers may use product photographs supplied by Souvenir Shindig solely to advertise and resell authentic Souvenir Shindig products. This permission may be revoked at any time.

16. Website Use

You agree not to:

Use the website for unlawful or fraudulent purposes.
Attempt to gain unauthorized access to our systems or accounts.
Introduce malware, harmful code, or automated scraping tools.
Interfere with the website’s operation or security.
Copy, harvest, or commercially exploit website content without permission.
Submit false account, payment, resale, or tax information.
Impersonate another person or business.
Use our website or products in a manner that infringes another party’s rights.

We may restrict or terminate access for violations of these Terms.

17. Third-Party Services

Our website may use or link to third-party services, including payment processors, shipping carriers, wholesale platforms, social-media platforms, and website applications.

We do not control and are not responsible for the availability, security, accuracy, policies, or performance of third-party services. Your use of those services may be governed by separate terms and privacy policies.

18. Disclaimer of Warranties

To the fullest extent permitted by law, the website, services, and products are provided on an “as is” and “as available” basis.

Except for any express written warranty provided by Souvenir Shindig, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, noninfringement, and uninterrupted availability.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

19. Limitation of Liability

To the fullest extent permitted by law, Souvenir Shindig and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost sales, lost business opportunities, loss of goodwill, or missed events.

Our total liability arising from an order, product, or these Terms will not exceed the amount the customer paid to Souvenir Shindig for the specific order giving rise to the claim.

These limitations apply regardless of the legal theory asserted and even if we were advised that damages were possible.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

20. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Souvenir Shindig and its owners, employees, contractors, affiliates, and service providers from claims, losses, liabilities, damages, judgments, and reasonable expenses arising from:

Your violation of these Terms.
Your resale, marketing, modification, or use of the products.
Content, logos, artwork, or instructions you submit.
Your violation of another party’s intellectual-property or other rights.
Your violation of applicable laws, marketplace rules, or tax obligations.
Fraudulent, negligent, or unauthorized activity associated with your account.

21. Force Majeure

Souvenir Shindig will not be responsible for delays or failure to perform caused by events beyond our reasonable control, including severe weather, natural disasters, fire, flood, war, terrorism, labor disputes, epidemics, government actions, utility failures, supplier shortages, transportation interruptions, carrier delays, or internet and technology outages.

22. Governing Law and Venue

These Terms and any dispute arising from your use of the website or purchase of our products will be governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

To the extent permitted by law, any legal proceeding must be brought in a state or federal court with jurisdiction over Hamilton County, Tennessee, and each party consents to the jurisdiction of those courts.

23. Informal Dispute Resolution

Before filing a legal claim, you agree to contact us and make a good-faith effort to resolve the dispute informally.

This section does not prevent either party from seeking emergency or injunctive relief when appropriate.

24. Termination

We may suspend or terminate your access to the website, wholesale account, pricing, or services if you violate these Terms, fail to pay an amount owed, misuse our intellectual property, engage in suspected fraud, or create risk or potential legal exposure for Souvenir Shindig.

Provisions that logically should continue after termination—including payment obligations, intellectual-property provisions, disclaimers, liability limitations, indemnification, and dispute terms—will survive termination.

25. Changes to These Terms

We may update these Terms periodically. Updated Terms will be posted on our website with a revised “Last updated” date.

Changes apply prospectively unless otherwise stated. Your continued use of the website or submission of orders after updated Terms are posted constitutes acceptance of the revised Terms.

26. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

27. Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision in the future.

28. Entire Agreement

These Terms, together with our Privacy Policy, Return and Damage Policy, applicable invoices, approved proofs, and any additional written terms accepted by both parties, constitute the entire agreement concerning your use of our website and purchase of our products.

If an approved written wholesale agreement conflicts with these Terms, the approved written agreement will control for the matters it specifically addresses.
